Wittington Investments has announced a definitive agreement to acquire Boots and associated businesses from Sycamore Partners and the Pessina family. The buyer’s release states total purchase consideration of US$8.9bn, including assumed debt.
The announced transaction covers Boots’ retail operations in the UK and Ireland, Boots Opticians, No7 Beauty Company and certain international and franchised businesses. Wittington says Fairfax Financial is partnering on the acquisition, with Wittington to have operational control on closing.
The release names Skadden, Arps, Slate, Meagher & Flom and A&O Shearman as legal advisers to Wittington, while Davis Polk & Wardwell is named as legal adviser to The Boots Group. The agreement remains subject to regulatory approvals and customary closing conditions, with completion expected in the first quarter of 2027.
Why it matters
This is a signed, major cross-border UK-related transaction and a recorded legal mandate. It is not a completed transaction and does not, by itself, support a law-firm hiring claim.
